Terms of Service & Privacy

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer," "User") and MiO Marketplace, LLC, a Florida limited liability company ("MiOS," "we," "us"), operator of the MiOS platform and related products (the "Service"). By creating an account, checking the acceptance box, clicking "Agree," or using the Service, you accept these Terms and our Privacy practices below. If you do not agree, do not use the Service. If you accept on behalf of an organization, you represent that you are authorized to bind it.

2. Definitions

"Service" — the MiOS web application, reports, AI assistant, and related features. "Customer Data" — data you submit, upload, or generate in the Service. "AI Assistant" / "MiO the Mule" — the in-app AI feature described in Section 8. "Output" — content the AI Assistant generates. "Subprocessor" — a third party that processes data to provide the Service.

3. Eligibility & Accounts

You must be 18 or older and able to form a binding contract. You are responsible for your account credentials and all activity under your account, and will notify us promptly of any unauthorized use.

4. The Service

MiOS provides B2B media and market intelligence — company and contact research, scoring, prospecting signals, and an AI assistant — for your internal business use. We may add, change, or discontinue features. Intelligence and Outputs are informational and not professional, legal, financial, or investment advice; you are responsible for decisions you make using them.

5. Acceptable Use

You will not: (a) use the Service unlawfully or to violate third-party rights; (b) scrape, resell, or redistribute the Service or its data except as permitted; (c) reverse engineer the Service; (d) probe, overload, or circumvent security or rate limits; (e) upload malware or unlawful content; (f) use the Service to build a competing dataset or model; or (g) use contact data in violation of applicable privacy or anti-spam laws (e.g., CAN-SPAM, GDPR, CCPA/CPRA, CASL). You are responsible for your outreach and your lawful basis for processing any personal data you obtain.

6. Customer Data & Ownership

As between the parties, you retain ownership of your Customer Data. You grant MiOS a worldwide, non-exclusive license to host, process, and use Customer Data to provide, secure, support, and improve the Service, and to generate aggregated, de-identified analytics that do not identify you or any individual. MiOS retains all rights in the Service, platform data, models, and aggregated or de-identified data.

7. Privacy

Our handling of personal data is governed by these Terms and our Privacy Policy at app.miomarketplace.com/privacy. We process personal data to operate the Service, comply with law, and as you direct, and we use Subprocessors (Section 9). Personal data is retained for the life of your account and up to 24 months thereafter unless a longer period is legally required; you may request deletion at mio@trymios.com. International transfers rely on Standard Contractual Clauses, and a Data Processing Addendum is available to customers on request.

8. AI Assistant (MiO the Mule) — AI & LLM Terms

  • What it is. MiO the Mule is an in-app AI assistant that answers questions and helps you navigate MiOS.
  • How it works. To generate answers, your questions and the relevant on-screen context are sent to our AI provider, Anthropic (Claude models), acting as a Subprocessor.
  • Saved conversations. Your AI conversations are saved so you can review them and so we can provide support, ensure safety, and improve the Service. They are retained for up to 24 months and can be deleted via your account settings or by request to mio@trymios.com.
  • Data boundaries. The assistant uses only your own data and anonymized, platform-wide signals — never another customer's identifiable data — and nothing beyond what you can already see in the product. It has no access to internal MiOS systems or other tenants' data.
  • No third-party model training on your data. Customer Data and AI inputs are not used to train third-party foundation models.
  • Accuracy. Outputs are AI-generated, may be incomplete or incorrect, and are not advice. Verify before relying on them; you are responsible for your use of Outputs.
  • Provider changes. We may change, add, or disable AI providers or features, and will keep this section current. Material changes trigger re-acceptance (Section 14).

Connecting your own AI tools (the MiOS connector). You may connect MiOS to an AI tool you use under your own account with its provider, such as Claude (including Claude Cowork and Claude Code), through the MiOS connector. Access to the connector is at our discretion and may depend on your plan.

  • What it does. The connector lets your AI tool act in MiOS as you, using only the features and data you can already see in the product, within the limits below.
  • Your provider, your terms. You connect by signing in with your MiOS login. Your AI tool and its provider, and what they do with information received from MiOS, are governed by your own agreement with that provider, not these Terms. Information passed to your AI tool leaves MiOS and is processed by that provider under your account.
  • What it cannot do. The connector does not send email or messages on your behalf; drafts are saved to your account for you to review. It cannot delete data, change billing or plan settings, or reach any other customer's data.
  • Usage and charges. Actions through the connector are charged in MiOS tokens exactly as the same action is in the app, and count toward your plan's limits. We apply per-request result caps, rate limits, and daily allowances.
  • No bulk extraction. In addition to Section 5, you will not use the connector, or any AI tool connected to it, to (a) copy, export, or systematically harvest contact or company data beyond your ordinary use of the Service; (b) resell, redistribute, or share data obtained from MiOS; or (c) train, fine-tune, or evaluate any AI model, or build a dataset.
  • Records and monitoring. We record each connector request (the action, a summary of the request, the results returned, and tokens charged) to operate, secure, and bill the Service, and we monitor for unusual volume or patterns. These records are kept for up to 24 months.
  • Licensed data. Some MiOS data comes from licensed providers whose terms may limit its use in third-party AI tools. We may withhold such data from the connector.
  • Disconnecting. You can disconnect at any time in MiOS (Connectors › MCP) or from your AI tool. Connections expire after 30 days and are renewed by signing in again. We may suspend or revoke a connection without notice for breach, unusual activity, or security risk, and it ends when your subscription ends.

9. Subprocessors & Third-Party Services

We use Subprocessors to deliver the Service, including: cloud hosting (Google Cloud Platform); the AI provider (Anthropic, Section 8); research and enrichment (Perplexity, Apollo); email infrastructure (Instantly, Mailchimp); payments (Stripe); and CRM (HubSpot). Third-party services you connect, including AI tools connected through the MiOS connector (Section 8), are governed by their own terms.

10. Fees & Subscriptions

The Service is offered on a monthly subscription basis. Subscriptions auto-renew each term unless cancelled before renewal. Fees are exclusive of taxes, are non-refundable except where required by law, and unpaid amounts may result in suspension.

11. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.

12. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. MiOS does not warrant that intelligence, scores, contact data, or AI Outputs are accurate, complete, or current.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MiOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. MiOS TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (b) US$100.

14. Changes to These Terms

We may update these Terms. When changes are material, we will require you to re-accept before continuing to use the Service (the first-login gate). Continued use after acceptance constitutes agreement.

15. Term & Termination

You may stop using the Service at any time. We may suspend or terminate for breach, legal risk, or non-payment. On termination, your right to use the Service ends, and you will have 30 days to export your Customer Data, after which it may be deleted.

16. Indemnification

You will indemnify MiOS against claims arising from your Customer Data, your use of the Service or Outputs, or your violation of these Terms or applicable law.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The exclusive venue for disputes is Pinellas County, Florida, and the parties agree to binding arbitration with a class-action waiver.
